The following terms and conditions set out the basis on which we will conduct business with you. Given the importance of the document, it is recommended that you read it carefully. Please contact us if you are uncertain of any of the attached clauses.
By subscribing to our service (and/or by agreeing to trial our service), you are agreeing that you accept the following terms.
Context Analysis is a service provided by Context Analysis Limited, which is authorised and regulated by the Financial Conduct Authority (FCA), and is bound by its rules.
Context Analysis Limited is a research company that specialises in producing statistical observations on key financial instruments. These instruments may include shares, rolling spot foreign exchange contracts, commodity futures, contracts for differences, futures and government and public securities. We will not arrange any transactions on your behalf.
Reports and Observations will normally be published on a daily basis.
Our services are provided for information purposes only. The content of this website and our research e-mails are in no circumstances to be relied upon as constituting personal investment advice or construed as an offer to buy or sell investments.
While all reasonable efforts have been made to ensure that the content of our research is accurate at the time of publication, neither Context Analysis Limited nor any of its employees makes any representation or warranty as to the accuracy and completeness of the information included. It is not independently verified. No liability is accepted by Context Analysis Limited or any of its employees for any losses (direct or indirect) arising out of any use of our research. All research may be subject to variation without notice.
From time to time, Context Analysis Limited and any of its officers and employees may, to the extent permitted by law, have a position or interest in the instruments – or derivatives of instruments – covered directly or indirectly by our reports.
The rules of the FCA require Context Analysis Limited to categorise our clients as Retail Clients, Professional Clients, or Eligible Counterparties. Retail Clients receive the greatest level of investor protection and Eligible Counterparties receive the least level of protection. Context Analysis Limited plans to treat you as a Retail Client, but may change this classification to Professional Client upon written notice to you via e-mail. You may also request to be treated as a Professional Client. By changing the categorisation to Professional Client you will lose the protections of the rules which only apply to Retail Clients. If a change of categorisation to Professional Client is envisaged, we will set out details under separate cover of the protections that you will lose by virtue of this categorisation. It should be noted that Context Analysis Limited does not conduct eligible counterparty business so it is unable to classify clients as an Eligible Counterparty.
You represent that you are over the age of 18.
3. Risk Warnings
The value of investments (including shares) and the income derived from these investments may go down as well as up. As a result, you may not get back the amount you have invested.
Some instruments, such as derivatives, may be disproportionately impacted by changes in the underlying instruments on which they are based, and as such are particularly high risk investments. For some of the instruments covered in our research, price discovery and liquidity may, from time to time, be impacted by market conditions, making it hard to deal in those instruments or ascertain their correct value.
If you are uncertain about whether the instruments covered in our research are suitable for you, you should consult an independent financial advisor.
4. Complaints Procedure
As stipulated by the FCA, should you have any complaint about the services that you receive from Context Analysis Limited, please write to the Compliance Officer, Context Analysis Limited, Ladybrook, Burgh Hill Road, Bramshott, Hampshire GU30 7RQ. Upon receipt, any complaint will be dealt with under our complaint handling procedure. A copy of this procedure will be supplied to you on request.
5. Payment Terms
Following any trial period, customers will be given access to the research upon payment of the agreed subscription charges.
Payment is due in advance, and will be made automatically using the credit or debit card details provided. Payments will be debited monthly on an ongoing basis, unless we receive notice of cancellation. Certain customers may have agreed other payment arrangements. For these customers, an invoice will be sent on a recurring basis.
Once a customer has agreed to our Terms and Conditions, payment can be made through the link provided to you in our payments e-mail.
6. Cancellation Policy
Following any trial period, customers must agree to subscribe to the service for a period of no less than one month (from the date that the subscription is taken out).
Customers wanting to cancel the service must give written notice by e-mailing ‘firstname.lastname@example.org’ stating your name and account number. A one month notice period will take effect at the beginning of the next month in the payment period.
Context Analysis Limited is entitled to cancel this agreement at any time by giving one month’s notice to the customer. Context Analysis Limited is also entitled to cancel this agreement at any time if the customer fails to make any necessary subscription payment. Context Analysis Limited is also entitled to cancel the agreement immediately and without notice if the customer does anything improper to jeopardise the smooth running, efficiency and integrity of the website, or permits unauthorised access to the research. In the event of termination, the client shall not be entitled to any refunds.
Customers who have paid for a period of 6 months or more, and who then cancel the subscription will (where eligible) receive a refund of 50% of the amount of any remaining period of the contract, one month from the date that notice was received.
As a subscriber/trialist, you will be requested to send us certain personal information. We are obliged to gather this information by our regulator, the FCA. We may use this information to verify your identity and your suitability to receive our service. We may also collect information about your usage of our website, and any e-mail correspondence between us. Your information will also allow us to give you access to the members area of the website.
We reserve the right to pass on aggregate information on the usage of our website to third parties; this will not include information that enables you to be identified.
Some of the information that you provide may be available to third parties who may act on our behalf. Some of these third parties may reside outside the EEA (European Economic Area). These parties may carry out certain functions for us, such as processing credit/debit card payments, and other support functions.
Unless required to do so by law, we undertake not to sell, share or distribute any information provided by you without your consent. In the event of Context Analysis Limited being compelled by law to disclose certain information, we will do so without reference to you.
We have in place security measures to protect information concerning our customers against unauthorised access, loss or damage. While we have attempted to create a secure and reliable website, we are not able to guarantee the confidentiality of any communication or material that you may submit to us via the website, or by e-mail. Context Analysis Limited accepts no responsibility for the security of personal information transmitted via the internet.
From time to time, we may contact you (via e-mail) to inform you of developments to our service, or other matters that we consider may be of interest to you. If you choose not to receive such information, please let us know by contacting ‘email@example.com’.
You are entitled to see the information that we hold about you, and may also request that changes are made to that information to maintain its accuracy. If you would like to make such changes, please contact us on ‘firstname.lastname@example.org’. A charge will be made to meet our costs in meeting your requests.
In the event of Context Analysis Limited merging with another business entity or being sold to a third party, your information may be disclosed to the relevant parties at that entity.
10. Data Protection
Context Analysis Limited is licensed under the Data Protection Act 1998. Hereafter (“DPA1998”). In accordance with legal and regulatory requirements, Context Analysis Limited will retain your records for a minimum period of three years following the termination of our relationship. This period may be extended by force of law, regulatory requirement or agreement between you and Context Analysis Limited. You consent to our keeping information about you in written and electronic format in accordance with the DPA1998. You have the right to review this information at any time. Context Analysis Limited will provide you with a copy of this data in accordance with our schedule of charges and upon a written request only.
Cookies are small information files that are sent by web servers to web browsers and are often created when you visit a website. They are stored in the cookie directory of your computer. A cookie typically includes an anonymous unique identifier. Cookies do not damage your computer. Information is sent back to the server each time the browser requests a page from the server. This enables web servers to identify and track web browsers. You do not have to accept cookies. You can adjust the settings on your web browser to accept cookies, reject all cookies, or inform you when a cookie is sent. By switching off all cookies you will still be able to view the majority of content on our site (but it may restrict your use of our interactive tools).
Neither Context Analysis Limited, nor any officer or employee of Context Analysis Limited, nor any other party (such as those involved in the creation and maintenance of our website) accepts any liability whatsoever for any direct and consequential loss resulting from the use of the Context Analysis research, our website and its contents.
In addition, neither Context Analysis Limited nor any officer of Context Analysis Limited shall be liable for any direct or indirect, incidental or consequential loss or damage (including loss of potential profits, goodwill or revenue) due to a) the inability to access our website/research b) the inability to access any website linked to this website c) the loss of any data in transmission, however caused (including but not limited to loss or damage due to viruses that may impact computer equipment, software etc.).
In addition, the customer agrees to indemnify Context Analysis Limited, its officers, employees, agents and directors against all liability, damages, claims, losses, legal fees and costs resulting from the breach of these terms and conditions by the customer.
13. Jurisdiction and Governing Law
Our website/research is compiled in order to comply with English Law. The terms and conditions shall also be governed by and construed in accordance with English Law. As a result, any disputes arising in connection with these terms and conditions will be subject (exclusively) to the jurisdiction of the English courts.
Access to our website and research is not open to individuals or companies who are resident in or nationals of any territory outside of the United Kingdom where allowing such access would require any registration, filing or other steps to be taken by Context Analysis Limited in order to comply with regulatory requirements and local laws. We offer no warranty that the information contained within this website and our research commentaries is appropriate for use outside the UK. It is also prohibited to access this website/research from countries or territories where its contents are unlawful or illegal.
It is the responsibility of the customer to be informed about the regulatory requirements and legal restrictions concerning access to this site. By accepting these terms and conditions, the customer warrants that neither access to this website and our research nor acceptance of these terms and conditions will infringe the laws or regulatory requirements of that territory, nor impose on Context Analysis Limited any obligations or duties of any country or territory outside the UK within which the customer may be a resident or citizen.
Any research provided to you by Context Analysis Limited will be non-independent research as defined by the FCA. This means that such material will be produced for marketing purposes and: (1) will not have been prepared in accordance with legal requirements designed to promote the independence of investment research and (2) will not be subject to any prohibition on dealing ahead of the dissemination of investment research. While Context Analysis Limited will use its best endeavours to ensure the accuracy of any research, Context Analysis Limited gives no representation, warranty or guarantee as to its accuracy or completeness or as to the tax consequences of any resulting transaction. Any opinion expressed or recommendation given is subject to change without notice. Any research issued is intended solely for the use of our clients and may contain confidential information. We make no representations as to the time of receipt by you of information and cannot guarantee that you will receive such information at the same time as other clients. Any reference made to past performance should not be viewed as indicative of future performance.
15. Conflicts of Interest
Context Analysis Limited has implemented a conflicts of interest policy (‘The Policy’). The Policy documents the conflicts of interest arising from the activities undertaken by us and the measures adopted to mitigate the risk of damage to customer interests which might otherwise result from such conflicts.
The content of this website and our research is protected by copyright and other intellectual property rights which are the property of Context Analysis Limited. Customers are permitted to view the research for personal use, but, research published on this site or sent to the customer electronically by e-mail may not be reproduced, published or distributed (in whole or in part) without the prior express permission of Context Analysis Limited.
Access to this website and our research is restricted to the customer personally, and cannot be shared with others. The customer may not reassign, transfer or sub-licence their rights under these terms and conditions. Context Analysis Limited reserves the right to monitor all customers to determine that these rules are being observed.
If, for any reason, any of the provisions contained within this agreement are found to be invalid, that shall not impact the validity of all other provisions.
